Corporate governance structure has always been a hot topic in the realm of corporate management. Corporate governance structure of companies in US with GE as a representative is regarded as a role model of corporate governance worldwide. On the basis of corporate governance theory and its major models, this paper explains the effectiveness of GE’s corporate governance structure and its enlightenment to Chinese enterprises by using repeated game principal-agent model and agent market reputation model.
